Client Responsibilities** To facilitate the successful completion of your website project, you agree to provide timely access to any necessary information, materials, and feedback requested by Gueth Agency so that we can complete our work efficiently. You are responsible for ensuring that all content provided does not infringe on third-party intellectual property rights or violate any applicable laws. #### **3. Payment Terms** The client agrees to pay all fees for services performed according to the payment schedule outlined in their specific service agreement. Payments are non-refundable once the related phase of work is completed or deliverables are under development. Delayed payments may result in a pause of work until resolved and/or incur additional fees as stipulated in your service agreement. #### **4. Intellectual Property Rights** Upon full payment, Gueth Agency grants you a non-exclusive, royalty-free license to use any custom content created specifically for your website. All other design elements and code remain the intellectual property of Gueth Agency unless explicitly agreed upon otherwise. #### **5. Limitation of Liability** Under no circumstances shall Gueth Agency be liable for any damages arising from your use or inability to use the site or services offered by us. This includes direct, indirect, incidental, consequential, special, or punitive damages resulting from errors, omissions, interruptions, file deletions, defects, delays in operation or transmission, computer virus infections, communications failure; and theft of/accessing unauthorized company records. #### **6. General Conditions** These Terms constitute the entire agreement between you and Gueth Agency concerning the subject matter herein and supersede all prior agreements or understandings regarding such matters. These Terms shall be governed by and construed in accordance with the laws of the State where our business is registered.
